Control Committee
At the Shareholders General Meeting, it was decided to establish a Control Committee. This decision was taken in light of the current institutional framework and the provisions on corporate governance which aim at the transparency and coordinated supervision of the auditors’ exercise of duties. Furthermore, it ensures at all times the lawful and safe operation of the Company and the elimination of economic and legal risks.
The Committee contains three members (two non-executive and one independent - non executive member) and they were elected by the General Meeting.
The Control Committee reports to the Board of Directors.
The main purpose of the Committee is to assist the Board of Directors in exercising its supervisory functions, ensuring transparency in corporate activities and fulfilling the obligations and responsibilities towards the Shareholders and supervisory authorities. |

Internal Audit
The Internal Audit Division constitutes an independent control body of the Company and is supervised by the Control Committee. The Division’s key mission is the performance of effective controls regarding the approved functions and procedures in all organizational units of the Company and the Group, in order to ensure the Company’s smooth and effective operation on the strategic level and the attainment of its planned quantitative and qualitative objectives.
The Internal Audit Division’s operation is based on a specific procedure, and its task constitutes in carrying out preventive controls and post reviews so as to evaluate the effectiveness of the Company’s operations; furthermore, its mission consists in the development of channels of communication and cooperation with the other Divisions/Departments in order to secure, through the establishment of the corporate control culture, the Company’s interests and the acceptance of the Internal Audit as a tool aiming at the support of the ‘audited’.

Corporate Relations Department
The Department’s core task is to ensure the Company’s compliance with the obligations regarding the provision of information to investors and supervisory authorities as defined by the existing institutional framework; additionally, it oversees the communication of the Company with the relevant stock exchange authorities, the media and any other competent body.
The Corporate Relations Department is responsible for planning and disclosing all announcements addressed to the investors. |

Shareholders Support Department
The Department undertakes the prompt information of the Shareholders, at all times on equal terms, as well as their support with respect to their exercise of duties pursuant to the Law and the Company’s Articles of Association.
The Department also sees to the prompt information of the investors regarding any important information, in particular for matters pertaining to or arising from the Company’s acts and actions, publications and allocations of dividends. Finally, it provides information regarding the General Meetings of the Company’s Shareholders and their resolutions. |
